  • Make key stakeholders available for interviews, workshops, and meetings.

4. Intellectual Property

4.1 Our Intellectual Property

Any feedback, suggestions, or ideas you provide regarding our services or website may be used by us without any obligation to compensate you or maintain confidentiality.

5. Confidentiality

We recognize that our consulting engagements involve access to sensitive business information. We commit to maintaining strict confidentiality of all client information obtained during our engagements. Confidential information will not be disclosed to third parties without the client's consent, except as required by law or as necessary for the performance of our services.

6. Fees and Payment

6.1 Fee Structure

Our fees are determined based on the scope and complexity of each engagement and are specified in the Service Agreement. We typically offer fixed-fee, retainer, and time-and-materials arrangements depending on the nature of the engagement.

6.2 Payment Terms

Unless otherwise agreed, invoices are due within 30 days of issuance. Late payments may incur interest at the rate of 0.05% per day of delay. We reserve the right to suspend services if payment is not received within the agreed timeframe.

6.3 Expenses

Reasonable travel and accommodation expenses incurred in connection with client engagements will be reimbursed by the client, subject to prior approval and documentation.

7. Limitation of Liability

7.1 Advisory Nature of Services

Our services are advisory in nature. While we provide expert recommendations based on our extensive experience in change management, the ultimate decision to implement any recommendations rests with the client. We are not responsible for the outcomes of decisions made by clients.

7.2 Limitation of Damages

To the maximum extent permitted by law, Forteo Consulting s.r.o. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to our services or your use of our website. Our total liability for any claims shall not exceed the fees paid by the client for the specific engagement giving rise to the claim.

7.3 No Warranty

Our website and services are provided "as is" without warranties of any kind, either express or implied. We do not warrant that our website will be uninterrupted, error-free, or free of viruses or other harmful components.

8. Indemnification

You agree to indemnify, defend, and hold harmless Forteo Consulting s.r.o., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of our website, violation of these Terms, or infringement of any third-party rights.

9. Termination

We reserve the right to terminate or suspend your access to our website at any time, without notice, for any reason, including violation of these Terms. The termination of consulting engagements is governed by the applicable Service Agreement.

These Terms are governed by and construed in accordance with the laws of the Czech Republic. Any disputes arising from or related to these Terms shall be submitted to the exclusive jurisdiction of the courts of Prague, Czech Republic.

11. Dispute Resolution

Before initiating any legal proceedings, the parties agree to attempt to resolve disputes through good-faith negotiation. If negotiation fails, the parties may consider mediation as an alternative to litigation.

12. Modifications to Terms

13. Severability
